Peace.info and Universal Fundraising Organization reserve the right in their sole discretion to terminate or restrict your use of this website, without notice, for any or no reason, and without liability to you or any third party. In addition, these Terms of Use, or any part of them, may be terminated by Universal Fundraising Organization without notice at any time, for any or no reason. The provisions relating to Intellectual Property, Warranty Disclaimers, Limitation of Liability, Indemnification and Miscellaneous, shall survive any termination.

MISCELLANEOUS

Governing Law. All matters arising out of or relating to these Terms of Use are governed by and construed in accordance with the internal laws of the State of Georgia and the federal laws of the United States of America, without giving effect to any choice or conflict of law provision or rule (whether of the State of Georgia or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than those of the State of Georgia or the federal laws of the United States.

Jurisdiction. Any legal suit, action or proceeding arising out of or relating to these Terms of Use shall be instituted in the federal courts of the United States of America or the courts of the State of Georgia in each case located in the City of Atlanta and County of Fulton, and each party irrevocably submits to the exclusive jurisdiction of such courts in any such suit, action or proceeding.

Arbitration. In the event the parties are not able to resolve any dispute between them arising out of or concerning these Terms of Use, or any provisions hereof, whether in contract, tort, or otherwise at law or in equity for damages or any other relief, then such dispute shall be resolved only by final and binding arbitration pursuant to the Federal Arbitration Act, conducted by a single neutral arbitrator and administered by the American Arbitration Association, or a similar arbitration service selected by the parties, located in the State of Georgia, City of Atlanta and County of Fulton. The arbitrators’ award shall be final, and judgment may be entered upon it in any court having jurisdiction. In the event that any legal or equitable action, proceeding or arbitration arises out of or concerns these Terms, the prevailing party shall be entitled to recover its costs and reasonable attorney’s fees. The parties agree to arbitrate all direct disputes and claims in regards to these Terms of Use and indirect claims, including tort claims that are a result of these Terms of Use. The parties agree that the Federal Arbitration Act governs the interpretation and enforcement of this provision. The entire dispute, including the scope and enforceability of this arbitration provision shall be determined by the arbitrator. This arbitration provision shall survive the termination of these Terms of Use.

Class Action Waiver. Any arbitration under these Terms of Use will take place on an individual basis, and class arbitrations and class/representative/collective action are not permitted. THE PARTIES AGREE THAT A PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN EACH’S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PUTATIVE CLASS, COLLECTIVE AND/OR REPRESENTATIVE PROCEEDING, SUCH AS IN THE FORM OF A PRIVATE ATTORNEY GENERAL ACTION AGAINST THE OTHER. Further, unless both the Company and you agree otherwise, the arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of a representative or class proceeding.

Notice. To the maximum extent permitted by applicable law, you agree that, by using this website, any notice, agreement, disclosure or other communication that Peace.info sends you electronically, will satisfy any legal communication requirements, including that such communications be in writing.

Waiver and Assignment. Universal Fundraising Organization’s failure to insist upon or enforce strict performance of any provision of these Terms of Use shall not be construed as a waiver of any provision or right. Neither the course of conduct between the parties nor trade practice shall act to modify any of these Terms of Use. Universal Fundraising Organization may assign its rights and duties under this Agreement to any party at any time without notice to you.
